Article 1 (Scope of Application)
These Terms of Use ("Terms") apply to the use of the Nuime Desktop alpha software ("Software") provided by Shuaruta Inc. ("Company"). By downloading or using the Software, you agree to be bound by these Terms.
Article 2 (Grant of License)
Subject to compliance with these Terms, the Company grants you a non-exclusive, non-transferable, revocable license to use the Software solely for personal, non-commercial purposes.
The Software provided as an alpha release is intended for evaluation and feedback gathering.
Article 3 (Prohibitions)
In these Terms, "commercial purposes" refers to use aimed at gaining business profits or use within an organization to perform business tasks, regardless of whether the user is an individual, for-profit company, or non-profit organization. If you are unsure whether your intended use falls under commercial use, please contact us prior to use.
Users must not engage in any of the following activities:
- Commercial use without a separate contract with the Company
- Redistribution, transfer, or lending to third parties
- Reverse engineering, decompilation, or disassembly
- Creating or distributing derivative works based on the Software
- Any illegal acts using the Software
Article 4 (Feedback)
The Company retains the right to freely use, modify, and incorporate into products any feedback, bug reports, or improvement suggestions ("Feedback") provided by users. No compensation will be provided for Feedback.
Article 5 (Transition to Paid Commercial Version)
The Software is planned to transition to a paid version in the future. Free provision of the alpha version is limited to the evaluation period. The timing and terms of monetization will be notified separately. Preferential benefits for alpha users will be determined at the Company's discretion.
Those who wish to use the software for commercial purposes may enter into a separate commercial license agreement even during the evaluation period of the alpha version.
Article 6 (Intellectual Property Rights)
All copyrights, patent rights, trademark rights, and other intellectual property rights relating to the Software belong to the Company. These Terms do not constitute a transfer of any intellectual property rights.
Article 7 (Disclaimer and Limitation of Liability)
The Software is an alpha release and does not guarantee operational stability, completeness, or accuracy.
The Company shall not be liable for any damages, including but not limited to:
- Direct, indirect, incidental, special, or consequential damages arising from the use or inability to use the Software
- Data loss, corruption, or leakage
- Business interruption, lost opportunities, or lost profits
- Claims from third parties
- Damages related to information transmitted or received via the Software
- Damages, claims, or expenses arising from illegal acts or third-party rights infringements committed by users with the Software
Even if the Company's liability for damages is recognized, the maximum compensation amount shall be limited to the amount paid by the user to the Company (0 JPY during the free alpha period).
Some jurisdictions may not allow the above exclusions or limitations of liability. In such cases, the Company's liability shall be limited to the minimum extent permitted by applicable law.
Article 8 (Disclaimer Regarding Third-Party Software)
The Software works in conjunction with third-party software such as NVDA and LM Studio. The Company assumes no responsibility for the operation, quality, security, or availability of third-party software. Users must independently review and comply with third-party terms of service.
Article 9 (Disclaimer Regarding AI and Large Language Models)
The Software utilizes Large Language Models (LLMs).
The Company assumes no liability for:
- API usage fees or other expenses incurred in using cloud services
- Accuracy, appropriateness, or completeness of outputs generated by LLMs
- Consequences of decisions or actions made by users based on LLM outputs
- Impacts caused by suspension, modification, or termination of LLM services
- Operation, performance, or output of local LLMs (such as LM Studio)
Users shall verify the terms of service of the LLM services at their own risk and bear all costs associated with their use.
Article 10 (Termination)
The license to use the Software shall automatically terminate on 31 December 2026. The Company may terminate the alpha provision early at its discretion. The license shall also terminate automatically upon breach of these Terms. Upon termination, users must uninstall the Software.
Article 11 (Amendments to the Terms)
The Company may modify these Terms at any time. Modified Terms become effective upon posting on the Company website or distribution page.
Article 12 (Governing Law and Jurisdiction)
These Terms shall be governed by the laws of Japan. Any disputes arising in connection with these Terms shall be subject to the exclusive jurisdiction of the Hiroshima District Court as the court of first instance.
